Terms of service

By accepting an invite, creating an account, or using the service, you agree to these terms. If you use the service for a company, you confirm that you can bind that company. Accounts are by invitation only.

Your signed client agreement sets out the scope of work, fees, and term. If it conflicts with these terms, the signed agreement controls.

Knotical Admin plans, launches, and manages advertising on Meta platforms, such as Facebook and Instagram, for our clients. The client workspace is where you sign agreements, manage billing, review creatives, message our team, and invite your teammates. We may change, pause, or retire workspace features.

You own your Meta Business portfolio, ad accounts, pages, pixels, and their data. You give us partner access so we can do the work, and you can remove that access in Meta at any time. Removing it may stop the work, and it does not change fees already due.

Ad spend is billed by Meta to the payment method on your ad account. It is separate from our fees, and we are not responsible for it unless your signed agreement says so. You approve budgets with us, and you remain responsible for the charges Meta makes.

To report on the work, we connect to your ad accounts through Meta and through reporting tools such as Windsor.ai. That data is used to run and report on your campaigns.

Every ad must follow Meta's Terms and Advertising Standards and the law where it runs. You are responsible for your products, offers, claims, landing pages, and the rights to anything you give us to use, such as images, video, music, and customer lists.

We may decline to run, or may pause, an ad we believe breaks those rules or the law. Meta makes its own decisions about ad review, restrictions, and account bans. We cannot control or guarantee them, and we are not liable for them.

Advertising results depend on many things outside our control, including Meta's systems, competition, your offer, and your website. We do not guarantee any level of sales, leads, return on ad spend, or other result. Reported figures come from Meta and can change as Meta updates its attribution.

You are responsible for the accuracy of the information you provide, for keeping your password confidential, for the teammates you invite, and for activity under your account. Email [email protected] if you think someone else is using it.

We may suspend or close an account that is inaccurate, unused, or in violation of these terms.

Our fees are set out in your signed agreement. The monthly fee is billed through Stripe and renews each month until it is canceled. If your agreement includes a first-month payment plan, the deposit is charged at checkout and the balance on the agreed date, to the card you used. Any share of attributed revenue is calculated and invoiced as your agreement describes.

You can update your card, see invoices, or cancel from Billing in the workspace. Cancellation stops future renewals. Unless your agreement says otherwise, fees already charged are not refunded and amounts already earned stay due. We may pause the work or your access while a payment is overdue.

You keep ownership of what you give us, including brand assets, files, and messages. You give Knotical Admin permission to use that material to provide the service and to make and run your ads. You confirm that you have the rights to share it.

Unless your signed agreement says otherwise, once the related fees are paid you may use the ad creatives we make for you in your own advertising. Knotical Admin keeps ownership of its methods, templates, tools, and the service itself, including its software, design, and branding.

You agree that agreements you sign in the workspace are signed electronically and are as binding as a handwritten signature. We keep a record of each signing, including the time, IP address, and browser details, as evidence of it.

Do not misuse the service. That includes:

• Trying to break or bypass security.
• Interfering with the service or with other clients.
• Uploading unlawful content or content you have no right to use.
• Using the workspace to send spam or to violate someone else's rights.

We may remove content or suspend access when we believe these terms have been broken.

Each side will use the other's non-public information, including ad account data and business results, only to carry out this relationship. Neither side will share it except with people who need it and are bound to protect it, or when the law requires it.

We are an advertising agency, not a law firm. Nothing in the service is legal or regulatory advice, and nothing here is a promise that a product, claim, or campaign meets advertising or regulatory rules.

The service is provided as available. We do not guarantee uninterrupted access, that third-party platforms such as Meta will be available or behave as expected, or that the service will meet every need.

To the fullest extent the law allows, Knotical Admin is not liable for indirect, incidental, special, consequential, or lost-profit damages, for ad spend, or for actions taken by Meta or other platforms. Our total liability is limited to the fees you paid us in the three months before the claim. Some places do not allow these limits, so parts of this section may not apply to you.

You may stop using the service at any time, subject to your signed agreement. We may suspend or end access if you break these terms or your agreement, if a payment stays overdue, if we are required to, or if we stop offering the service. When the relationship ends, remove our access to your ad accounts. Sections that should survive, including fees due, ownership, confidentiality, disclaimers, and limits on liability, stay in effect.

We may update these terms. When we do, we change the effective date at the top of this page. If you keep using the service after an update, the new terms apply.

These terms and your signed agreement are the whole agreement about the service. They are governed by applicable law, without regard to conflict-of-law rules.
